Terms of Service

1. Acceptance of Terms

By accessing or using IUXConnect's transparent CLOB exchange platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you and IUXConnect. Please read them carefully.

2. Platform Description

IUXConnect operates a transparent Central Limit Order Book (CLOB) exchange providing Direct Market Access (DMA) for trading in:

• Foreign Exchange (Forex) - 180+ currency pairs
• Precious Metals - Gold, Silver, Platinum, Palladium
• OTC Derivatives and custom products

We operate as a neutral intermediary and do not engage in proprietary trading. Our platform does not profit from client losses.

3. Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be located in a restricted jurisdiction
• Complete our KYC/AML verification process
• Comply with all applicable laws and regulations

4. Account Registration

You must register for an account to access trading services. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account
• Not share your account with others

5. Trading Rules

5.1 Order Execution

All orders are executed on our transparent CLOB according to price-time priority. We provide Direct Market Access without intervention or requotes.

5.2 Market Manipulation

You agree not to engage in:

• Spoofing, layering, or other manipulative trading practices
• Wash trading or artificial price manipulation
• Front-running or insider trading
• Any activity that disrupts fair and orderly markets

5.3 Risk Disclosure

Trading involves substantial risk of loss. You should only trade with capital you can afford to lose. Past performance does not guarantee future results.

6. Fees and Charges

You agree to pay all applicable fees as outlined in our fee schedule. Fees may include:

• Trading commissions and exchange fees
• Market data subscription fees
• API access fees
• Withdrawal and deposit fees

We reserve the right to modify fees with 30 days' notice.

7. Intellectual Property

All content, software, and technology on the Platform are owned by IUXConnect or our licensors. You may not:

• Copy, modify, or distribute our proprietary technology
• Reverse engineer or decompile our software
• Use our trademarks without permission
• Create derivative works based on our Platform

8. Limitation of Liability

To the maximum extent permitted by law, IUXConnect shall not be liable for:

• Trading losses or missed opportunities
• System downtime or technical failures
• Market volatility or liquidity issues
• Third-party actions or failures
• Indirect, consequential, or punitive damages

Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless IUXConnect from any claims, losses, or damages arising from your use of the Platform, violation of these Terms, or infringement of any rights of third parties.

10. Termination

We may suspend or terminate your account at any time for:

• Violation of these Terms
• Suspicious or fraudulent activity
• Regulatory requirements
• Extended inactivity

Upon termination, you must close all open positions and withdraw your funds within 30 days.

11. Dispute Resolution

Any disputes shall be resolved through binding arbitration in accordance with international arbitration rules. You waive the right to participate in class action lawsuits.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable financial regulations and international trading standards.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or Platform notification. Continued use after changes constitutes acceptance.
